Important: By enrolling in any program or using our services, you confirm that you have the legal capacity to enter into this agreement and that you are at least 18 years of age.

2. User Obligations and Responsibilities

As a user of Nexus Projects services, you agree to fulfill the following obligations:

2.1 Compliance with Laws

You agree to comply with all applicable local, national, and international laws, regulations, and ordinances when using our services. This includes but is not limited to laws governing data protection, intellectual property, and electronic communications.

2.2 Accurate Information

You must provide truthful, accurate, current, and complete information when registering for programs, creating accounts, or communicating with us. You are responsible for maintaining the accuracy of your information and updating it as necessary.

2.3 Appropriate Conduct

You agree to conduct yourself professionally and respectfully when interacting with instructors, staff, and other participants. Harassment, discrimination, threatening behavior, or any form of misconduct will not be tolerated.

Prohibited behaviors include but are not limited to: verbal abuse, intimidation, inappropriate sexual conduct, discriminatory language or actions, and disruption of learning environments.

2.4 Intellectual Property Respect

You must respect all intellectual property rights, including copyrights, trademarks, and proprietary information belonging to Nexus Projects, instructors, and third parties. Unauthorized reproduction, distribution, or commercial use of materials is strictly prohibited.

2.5 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or security breach.

2.6 Payment Obligations

You agree to pay all fees associated with your enrollment in training programs according to the payment schedule provided. All payments must be made in full and on time. Failure to meet payment obligations may result in suspension or termination of access to services.

3. Prohibited Activities

The following activities are expressly prohibited when using our services:

• Attempting to gain unauthorized access to our systems, servers, networks, or data
• Transmitting viruses, malware, or any other malicious code that could harm our systems or other users
• Engaging in data mining, scraping, or harvesting of information from our website without authorization

4. Disclaimers and Limitations of Liability

While we strive to provide high-quality training, we make no guarantees regarding specific outcomes, career advancement, certification success, or employment opportunities resulting from program participation.

We make reasonable efforts to ensure the accuracy and currency of information provided through our services. However, we do not warrant the completeness, reliability, or accuracy of any content. Information is subject to change without notice.

4.3 Limitation of Liability

To the maximum extent permitted by applicable law, Nexus Projects shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses.

Our total liability for any claims arising from your use of our services shall not exceed the amount you paid to us for services in the six months preceding the claim.

5. Indemnification

You agree to indemnify, defend, and hold harmless Nexus Projects, its officers, directors, employees, instructors, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your violation of these Terms and Conditions

• Your violation of any rights of another party

• Your breach of any representation or warranty contained herein

6. Governing Law and Dispute Resolution

6.1 Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

6.2 Jurisdiction

You agree that any legal action or proceeding arising from or relating to these Terms and Conditions or your use of our services shall be brought exclusively in the courts located in Tokyo, Japan. You consent to the personal jurisdiction of such courts.

6.3 Dispute Resolution

In the event of any dispute, controversy, or claim arising from these terms, the parties agree to first attempt to resolve the matter through good faith negotiations.

If negotiations fail to resolve the dispute within thirty days, either party may pursue formal legal remedies in accordance with the jurisdiction provisions above.

Nexus Projects shall not be liable for any failure or delay in performance of our obligations under these Terms and Conditions due to circumstances beyond our reasonable control, including but not limited to:

• Acts of God, natural disasters, or severe weather conditions

• War, terrorism, civil unrest, or government actions

• Epidemics, pandemics, or public health emergencies

• Strikes, labor disputes, or supply chain disruptions

• Telecommunications or internet service failures

• Power outages or equipment failures

During force majeure events, we will make reasonable efforts to minimize disruption and resume normal operations as soon as practicable.

8. Severability and Waiver

Severability

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.

Waiver

No waiver of any term or condition of this agreement shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision.

These Terms and Conditions, together with our Privacy Policy and any program-specific enrollment agreements, constitute the entire agreement between you and Nexus Projects regarding the use of our services and supersede all prior or contemporaneous understandings and agreements, whether written or oral.

Any modifications, amendments, or additional terms must be made in writing and signed by an authorized representative of Nexus Projects to be valid and enforceable.

10. Modifications to Terms

We reserve the right to modify, update, or replace these Terms and Conditions at any time at our sole discretion. Changes will be effective immediately upon posting to this page with an updated effective date.

Material changes will be communicated through email notification to registered users or prominent notice on our website. Your continued use of our services following the posting of changes constitutes acceptance of those changes.
